Agreement to these terms

These Terms of Use (these “Terms”) govern your access to and use of qozbmanagement.com and its subdomains, including all content, tools and downloadable materials (together, the “Site”), operated by QOZB Management, LLC, a Delaware limited liability company and a BlackForge Ventures company (“QOZB Management,” “we,” “us” or “our”).

By accessing or using the Site, you agree to these Terms and to our Privacy Policy. If you use the Site on behalf of an organization, you represent that you are authorized to accept these Terms on its behalf. If you do not agree, do not use the Site. You must be at least 18 years old to use the Site.

Informational purposes only; no advice

The Site, including our guides, articles, timelines, checklists, readiness check and tract lookup, provides general information about the Opportunity Zone program and our services.

Nothing on the Site constitutes legal, tax, accounting, investment, financial or other professional advice, and it should not be relied on as such. Opportunity Zone rules are complex, change frequently and apply differently depending on specific facts, including the structure of the fund and business, the timing of investments and elections, and the location and use of property. You should consult qualified legal, tax and financial advisors about your particular circumstances before acting or refraining from acting on any information on the Site.

QOZB Management works alongside your counsel and advisors; it does not replace them. We do not guarantee, and nothing on the Site should be read as promising, any tax benefit, compliance result, designation, investment return or other outcome.

No client or attorney–client relationship

Using the Site, submitting a form or otherwise contacting us does not create a client, advisory, fiduciary or attorney–client relationship with QOZB Management, any of its personnel or any law firm. A client relationship arises only under a written engagement agreement signed by QOZB Management, and is governed by that agreement.

Certain individuals identified on the Site are attorneys who are also affiliated with law firms, including Lucosky Brookman LLP. Content on the Site is published by QOZB Management. It is not legal advice or attorney advertising by, and does not represent the views of, any law firm, and contacting us through the Site does not create an attorney–client relationship with any firm. Do not send us confidential information until an engagement has been agreed in writing.

No offer of securities

Nothing on the Site is an offer to sell, or a solicitation of an offer to buy, any security, fund interest or other investment, and nothing on the Site is a recommendation to invest in any qualified opportunity fund, qualified opportunity zone business or other investment. Any such offer may be made only by means of definitive offering documents, to eligible persons and in compliance with applicable law.

References to our team’s experience, including amounts of capital managed or structured and the size of projects, describe the approximate experience of team members, are provided for informational purposes only and are not an indication or guarantee of future results.

Accuracy, currency and regulatory change

We work to keep the Site accurate and current, and our reference content identifies its sources and the date it was last reviewed. However, laws, regulations, IRS guidance and official designations change, sometimes with little notice, and content may become outdated, incomplete or inaccurate. We do not warrant that the Site is accurate, complete or current at any given time, and we have no obligation to update it. Where the Site summarizes statutes, regulations or government guidance, the official text controls.

Tools and downloadable materials

The tract lookup, compliance readiness check, OZ Compliance Checklist and similar tools and materials are provided for general informational and educational purposes, as is.

• Tract lookup. Results are derived from public data published by the U.S. Census Bureau, the CDFI Fund and the Internal Revenue Service, which may be incomplete, revised or superseded, and from automated address matching that may be inaccurate. A result is not a determination that any property, business or project qualifies under the Opportunity Zone rules. Confirm designation status against official sources and with your advisors.
• Readiness check. Scores and suggestions are a general self-assessment of compliance processes. They do not determine whether a fund or business qualifies, and they are not advice.
• Checklist and other materials. These are general summaries and are not exhaustive. They may not reflect every requirement applicable to your circumstances.

Your submissions

Information you submit through the Site is used as described in our Privacy Policy. Please do not submit confidential, proprietary or sensitive information through the Site. Except as stated in our Privacy Policy or in a signed agreement, submissions are not treated as confidential and do not create any obligation on our part.

If you provide suggestions or feedback about the Site or our services, you grant us a non-exclusive, perpetual, irrevocable, royalty-free license to use it for any purpose without obligation to you.

Intellectual property

The Site and its content, including text, graphics, data compilations, tools, design and software, are owned by or licensed to QOZB Management and are protected by intellectual property laws. QOZB Management and QOZB Management™, the QOZB logo and related marks are trademarks of QOZB Management. You may not use our marks without our prior written permission.

Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable license to access and view the Site and to download or print a reasonable number of pages and materials for your personal or internal business reference, provided you keep all copyright and other notices intact. You may quote brief excerpts with attribution and a link to the Site. Any other reproduction, republication, distribution or commercial use requires our prior written permission.

Statutes, regulations and government publications referenced on the Site are public domain or the property of their respective publishers, and are referenced for informational purposes.

Acceptable use

You agree not to:

• use the Site in violation of any applicable law or regulation, or to infringe or misappropriate the rights of others;
• interfere with, disrupt or attempt to gain unauthorized access to the Site, its servers or connected systems, or probe, scan or test their vulnerability;
• circumvent or attempt to circumvent spam protection, rate limits or other security features;
• submit false, misleading, unlawful or malicious content, or impersonate any person or organization;
• use automated means to submit forms or to make bulk or high-volume queries of the Site’s tools, or use the tools to build a competing product or dataset; or
• frame or mirror the Site, or misrepresent your affiliation with QOZB Management.

Search engines and AI assistants are welcome to index and cite the Site’s publicly available pages in accordance with our robots.txt file. Citation with attribution and a link is appreciated.

Third-party sites and services

The Site links to third-party websites and relies on third-party services, including government sources and data providers. We do not control and are not responsible for third-party content, products, services or privacy practices, and a link does not imply endorsement. Your use of third-party sites is at your own risk and subject to their terms.

Disclaimer of warranties

TO THE FULLEST EXTENT PERMITTED BY LAW, THE SITE AND ALL CONTENT, TOOLS AND MATERIALS ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY AND COMPLETENESS. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, SECURE OR ERROR-FREE, OR THAT ANY RESULT OBTAINED FROM IT WILL BE ACCURATE OR RELIABLE.

Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL QOZB MANAGEMENT, ITS AFFILIATES OR THEIR RESPECTIVE MEMBERS, MANAGERS, PARTNERS, OFFICERS, EMPLOYEES OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, TAX BENEFITS, INVESTMENT VALUE, DATA OR GOODWILL, ARISING OUT OF OR RELATING TO THE SITE OR YOUR RELIANCE ON IT, WHETHER IN CONTRACT, TORT OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SITE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US$100).

Some jurisdictions do not allow certain exclusions or limitations, so some of the above may not apply to you. Nothing in these Terms limits liability that cannot be limited by law, or affects the terms of any signed engagement agreement, which controls in the event of conflict.

Indemnification

You agree to indemnify and hold harmless QOZB Management and its affiliates and their respective members, managers, partners, officers, employees and agents from and against any claims, liabilities, damages, losses and expenses, including reasonable attorneys’ fees, arising out of or relating to your violation of these Terms or your misuse of the Site.

Governing law and venue

These Terms and any dispute arising out of or relating to them or the Site are governed by the laws of the State of Delaware, without regard to its conflict-of-law rules. You agree that the state and federal courts located in the State of Delaware have exclusive jurisdiction over any such dispute, and you consent to their personal jurisdiction. TO THE FULLEST EXTENT PERMITTED BY LAW, EACH PARTY WAIVES ANY RIGHT TO A JURY TRIAL IN ANY SUCH DISPUTE.

Changes to the Site and these terms

We may modify, suspend or discontinue any part of the Site at any time without notice. We may update these Terms from time to time by posting a revised version on this page and updating the “Last updated” date. Changes take effect when posted, and your continued use of the Site afterward constitutes acceptance of the revised Terms.

General

These Terms, together with our Privacy Policy, are the entire agreement between you and QOZB Management regarding the Site and supersede any prior understandings on that subject. They do not supersede any signed engagement agreement. If any provision is held unenforceable, it will be modified to the minimum extent necessary and the remaining provisions will remain in effect. Our failure to enforce any provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition or sale of assets.
